Terms of Service

Please read carefully. These Terms of Service ("Terms") constitute a legally binding agreement between you and SGNLS / BASS Technologies ("SGNLS," "we," "us," or "our") governing your access to and use of the SGNLS mobile application and related services. By creating an account or using the Service, you agree to these Terms in full.

1. Acceptance of Terms

By downloading, installing, or using the SGNLS application ("App" or "Service"), you confirm that you are at least 18 years of age, have read and understand these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must immediately cease use of the Service and delete your account.

2. Description of Service

SGNLS is a peer-to-peer roadside assistance platform that connects individuals experiencing vehicle distress ("Users" or "Drivers") with independent roadside service providers ("Techs" or "Providers"). The Service facilitates five categories of roadside assistance:

  • Battery Jump: portable jump-start services
  • Fuel Delivery: emergency fuel delivery (gasoline or diesel)
  • Tire Change: flat tire assistance and spare installation
  • Lockout: vehicle lockout and key retrieval services
  • Emergency Ride: transportation while your vehicle is unavailable

SGNLS is a technology platform only. We do not employ Techs, own vehicles used in service delivery, or guarantee specific response times. All roadside services are provided by independent third-party contractors.

3. Emergency Services Disclaimer

SGNLS IS NOT AN EMERGENCY SERVICE AND IS NOT A SUBSTITUTE FOR 911 OR EMERGENCY RESPONDERS. If you are in a life-threatening situation, involved in an accident with injuries, or facing an immediate threat to your safety, call 911 or your local emergency number immediately. Do not rely on SGNLS for emergency response.

4. User Accounts

4.1 Account Creation

To use the Service, you must create an account using a valid email address and password, or through a supported third-party sign-in method. You agree to provide accurate, current, and complete information and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@sgnls.app if you suspect unauthorized access. SGNLS is not liable for losses resulting from your failure to protect your credentials.

4.3 One Account Per Person

Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions, reviews, or suspensions is prohibited and may result in permanent termination of all associated accounts.

5. Driver / User Terms

5.1 Eligibility

To request services as a User, you must be the owner or authorized operator of the vehicle for which help is requested, or have the vehicle owner's explicit permission to request service. You affirm that you are requesting service for a lawfully owned or operated vehicle.

5.2 Accurate Signal Information

When dropping a signal, you agree to provide accurate information about your location, distress type, and any special circumstances. False or inaccurate signals waste provider resources and may result in account suspension.

5.3 User Conduct During Service

You agree to treat all Techs with courtesy and respect. Harassment, threats, physical contact, or property damage directed at any Tech is strictly prohibited and will result in immediate account termination and may be reported to law enforcement.

6. Tech / Provider Terms

6.1 Independent Contractor Status

Techs who accept service requests through SGNLS are independent contractors, not employees, agents, or partners of SGNLS. Nothing in these Terms creates an employment, partnership, joint venture, or franchise relationship between SGNLS and any Tech.

6.2 Eligibility Requirements

To operate as a Tech on the SGNLS platform, you must:

  • Be at least 18 years of age and legally authorized to work in your jurisdiction
  • Maintain valid auto insurance that meets or exceeds state minimum requirements
  • Hold any licenses required by local law for the service types you offer
  • Pass SGNLS's verification and approval process, including submission of required compliance documents
  • Maintain a functional smartphone with the SGNLS app installed and location services enabled during active shifts

6.3 Service Standards

Techs agree to respond to accepted signals promptly and professionally; perform only the accepted service type; use appropriate equipment; not charge Users amounts beyond those established by SGNLS; and maintain vehicles and tools in safe operating condition.

6.4 Driver Level Program

SGNLS operates a tier-based reputation program (Bronze, Silver, Gold, Elite). Tier status is determined by completed jobs, ratings, and compliance history. SGNLS reserves the right to modify tier criteria at any time.

6.5 Approval and Suspension

SGNLS reserves the sole right to approve, reject, suspend, or permanently remove any Tech from the platform for any reason, including but not limited to: low service ratings, insurance lapses, compliance violations, safety concerns, or fraudulent activity.

7. Payment Terms

7.1 SGNLS Membership

SGNLS offers an optional subscription plan called SGNLS Membership at $5.99 per month, billed monthly through Apple In-App Purchase. Membership provides priority signal routing, free monthly service calls, and other benefits described in the App.

7.2 Subscription Auto-Renewal

SGNLS Membership automatically renews at the end of each billing period unless you cancel at least 24 hours before the renewal date. Renewal charges are processed through your Apple ID account. You may manage and cancel your subscription at any time in your Apple ID account settings under Subscriptions.

7.3 Per-Service Fees

Non-member Users may be charged per-service fees. All fees are disclosed in the App prior to service confirmation. Fees are processed through Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service.

7.4 Refunds

Subscription fees are generally non-refundable except as required by applicable law or Apple's refund policies. Service fee refunds may be considered on a case-by-case basis for failed or significantly incomplete service. Contact legal@sgnls.app to request a refund review.

8. Location Services

The Service requires access to your device's location to function. By using SGNLS, you consent to the collection, use, and sharing of your location data as described in our Privacy Policy. Location data is used to identify your position when dropping a signal, display your signal to nearby Techs, and enable Techs to navigate to your location.

9. Prohibited Conduct

You agree not to use the Service to:

  • Submit false, misleading, or fraudulent service requests or signals
  • Impersonate any person or entity or misrepresent your qualifications
  • Engage in harassment, abuse, or discriminatory conduct toward any user, Tech, or SGNLS employee
  • Violate any applicable local, state, federal, or international law or regulation
  • Attempt to manipulate ratings, reviews, or the reputation system
  • Access or attempt to access any account, system, or data without authorization
  • Reverse-engineer, decompile, or create derivative works based on the App
  • Use automated tools, bots, or scripts to interact with the Service
  • Interfere with the proper functioning of the Service or its infrastructure

10. Intellectual Property

The SGNLS name, logo, application, and all related technology are owned by SGNLS / BASS Technologies and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose. No other rights are granted. You may not use our trademarks, logos, or branding without prior written consent.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SGNLS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT ANY TECH WILL BE AVAILABLE AT ANY GIVEN TIME; OR THAT SERVICE WILL BE COMPLETED WITHIN ANY PARTICULAR TIMEFRAME.

SGNLS DOES NOT GUARANTEE, ENDORSE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE OFFERED BY A TECH. YOUR USE OF ANY TECH SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SGNLS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE.

IN NO EVENT SHALL SGNLS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SGNLS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

13. Indemnification

You agree to defend, indemnify, and hold harmless SGNLS and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) if you are a Tech, any claim arising from the services you provide.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating formal proceedings, contact SGNLS at legal@sgnls.app with a written description of the dispute. The parties will attempt to resolve the matter informally for 30 days.

14.2 Binding Arbitration

If informal resolution fails, any dispute shall be finally resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), conducted in Los Angeles, California. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

YOU AND SGNLS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Subject to the arbitration provision above, you consent to the exclusive jurisdiction of courts in Los Angeles County, California.

16. Termination

SGNLS may suspend or terminate your account at any time, with or without cause. You may delete your account at any time through the App or by contacting legal@sgnls.app. Provisions that by their nature survive termination shall survive, including Sections 10–15.

17. Modifications

SGNLS reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by in-app notification. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
